CREATE Medicines, Inc. ("CREATE," "we," "us," or "our") operates this website (the "Site"). By accessing or using the Site, you agree to be bound by these Terms of Use (these "Terms"). If you do not agree to these Terms, please do not use or access the Site. You must be at least the age of majority in your jurisdiction to submit information through the Site. If you are using the Site on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Violates Any Law or Regulation: You may not use the Site for any unlawful purpose or to promote illegal activities. This includes complying with all applicable export control laws and regulations if you are downloading information from the Site.

Because some jurisdictions do not allow the exclusion or limitation of certain damages or liabilities, some of the above limitations may not apply to you. In any case, CREATE's liability will be limited to the maximum extent permitted by applicable law.
8. Indemnification
You agree to defend, indemnify, and hold harmless CREATE and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or activities in connection with the Site; (b) any content you submit or provide to the Site (if such features are available); (c) your violation of these Terms or any applicable law or regulation; or (d) your infringement of any intellectual property or other rights of CREATE or any third party.

9. Governing Law and Jurisdiction
These Terms of Use and any dispute or claim arising out of or relating to the Site or these Terms (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, USA, without giving effect to any conflict of law principles that may result in the application of the law of another jurisdiction.
By using the Site, you agree that any legal suit, action, or proceeding arising out of or related to these Terms or your use of the Site shall be instituted exclusively in the federal or state courts located in the Commonwealth of Massachusetts. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
International Use: CREATE makes no representation that the Site or its content is appropriate or available for use in locations outside of the United States. If you access the Site from outside the U.S., you do so on your own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

No Waiver: No failure or delay by CREATE in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right or remedy, nor shall any single or partial exercise of any right, power, or remedy preclude any further exercise of that or any other right, power, or remedy. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of CREATE.
Headings: Section headings are included in these Terms for convenience only and shall not affect the interpretation of these Terms.
Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. CREATE may assign its rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, sale of assets, or by operation of law.
User Submissions (No Confidentiality): If you submit, upload, or otherwise provide any ideas, feedback, suggestions, or other materials to CREATE through the Site (collectively, "Submissions"), you acknowledge that CREATE has no obligation of confidentiality with respect to such Submissions, and that CREATE is free to use, disclose, reproduce, modify, license, distribute, and exploit them for any purpose and without attribution or compensation to you, subject only to CREATE's Privacy Policy with respect to personal information.
